Membership

What does membership cost?

$500 per year, collected via Stripe at the time of application. Membership renews annually.

What does my $500 annual membership include?

Access to every deal we bring to market at member economics, the community, and deal flow visibility across the full OTC pipeline. Membership value exists independent of any single investment.

Is this invitation-only?

Applications are open. Referrals are encouraged — when you apply, we ask who brought you here, and it tells us something about the quality of the room. You do not need a referral to apply.

What happens after I apply?

You complete your application on the final page of the form — terms and conditions, NDA, and payment. Membership is active immediately upon payment confirmation. You will receive a series of emails directly from us to aid in onboarding.

Can I cancel my membership?

Yes. Membership can be cancelled at any time. Contact us before your renewal date and we will handle it directly.

Deals

What types of investments does The Club offer?

OTC sources deals across golf technology, agronomy, software, real estate, hospitality, and more. There is no asset class box and no stage constraint. The filter is simple: is this an objectively great investment in an industry we know better than anyone else?

What is the minimum investment per deal?

Invest in what you want (never an obligation). Most deals start at $10,000. In some situations the minimum threshold might be set larger for a variety of reasons (deal stage, round size, etc.).

What are the deal economics?

Typical economics are 2% annual management fee for five years, paid up front. 20% carried interest on returns above a 1x hurdle.

How many deals are available per year?

10+ deals per year. Typically one to two in market at any given time.

Do I have to invest in every deal?

No. Each deal is a separate decision. You review the deal materials, attend the Q&A if you choose, and invest or pass. There is no commitment beyond the annual membership.

Can I share deals with people in my network?

Yes. Members are encouraged to share deals with accredited investors in their network. When a deal is shared and a non-member invests, they invest at non-member economics: 2.5% annual management fee and 25% carry. Member economics — 2% annual, 20% carry — are available to anyone who is an active member of The Club.

When is capital called?

Capital is called and funded at the time of document execution (all upfront). Management fees are deducted at this time.

Where do I access deal materials?

Everything lives with our virtual data room (VDR) partner platform. When a deal comes to market, the memo, financials, and supporting documents are posted to your data room. One login, all active deals in one place. After becoming a member, you will receive a separate email directly from Ideals VDR with steps to set up an account or log in. If you don't receive it after a week or have trouble accessing, please reach out to us directly.

How do I invest in a deal?

We create a separate legal entity, or SPV, for every deal. A third partner platform provider creates, administers, and manages our investment SPVs. All members committing to a deal will be added to the platform and receive communication directly from them for subscription/funding. You can find additional information in your onboarding data room.

Compliance

Is this investment advice?

No. We do not tell you what to do with your capital. Every deal memo contains the information you need to make your own decision.

What does "accredited investor" mean?

Accredited investor status confirms you meet regulatory income or net worth thresholds. Because the Club provides access to private securities offerings, every investor needs to qualify as an accredited investor. You can get additional information on the SEC website.

What is the NDA I signed and what does it cover?

The NDA protects the confidentiality of deal materials shared in the data room. It means the investment memos, financials, and supporting documents you access are for your review only and are not to be shared broadly outside the Club.
